1. About these terms
These terms govern use of Kernal - Schneider Electric (this website) and any quote issued by Kernal Automation Co., Ltd.. By browsing the site or requesting a quote, you accept these terms.
2. Indicative pricing
USD prices shown on the catalog are indicative, refreshed periodically from our internal price book. They are not a binding offer. A binding price is issued only in a written quote (email, signed PI). Quotes are valid for 7 calendar days unless stated otherwise.
3. Independent supplier — not an authorised distributor
Kernal - Schneider Electric is not an authorised distributor of Schneider Electric or any other manufacturer named on this site. All trademarks, part numbers, model codes, logos, and descriptions appear for identification purposes only and do not imply affiliation with, endorsement by, or sponsorship from such manufacturers. All trademarks remain the property of their respective owners.
4. Sourcing channels
Stock is acquired through three channels: (a) authorised European distributor surplus, (b) sealed-box factory surplus, (c) direct factory channels. The origin label of each unit is disclosed on the written quote.
5. Authenticity
Each unit is photographed and serial-checked before dispatch. We supply the serial number on every quote so you can independently verify it on se.com before payment. If a unit is found not to match the listing, see Returns & Refunds.
6. Orders, payment, delivery
- Order confirmation. Sale is concluded only when we accept your purchase order in writing and you remit payment per the quote terms.
- Payment. USD bank wire by default; EUR available on request. Payment terms (deposit / balance / Net-30) per quote.
- Delivery. Ex-works Hong Kong by default, via DHL/FedEx/UPS/TNT. Incoterms specified on the PI.
- Title passes on full payment; risk passes on hand-over to the carrier.

8. Limitation of liability
To the maximum extent allowed by law, Kernal Automation Co., Ltd.'s liability for any single order is capped at the invoice value of that order. We are not liable for indirect or consequential damages (lost production, downstream contract claims, etc.).
9. Governing law
These terms are governed by the laws of the People's Republic of China for contracts concluded with the Chinese entity, and by German law for contracts concluded via the Germany branch. Disputes shall be resolved in the competent courts of the relevant jurisdiction.
